These Terms and Conditions ("Terms") govern your access to and use of the SUNVIBE website located at https://sunvibesolar.ca (the "Website"), which is operated by Sunvibe Financial Inc. ("Sunvibe," "we," "us," or "our").
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Website.
1. About Sunvibe
Sunvibe Financial Inc. provides solar energy and energy-related products, services, consulting, project coordination, and related solutions for residential and commercial customers.
Our services may include, without limitation:
Residential solar energy systems
Commercial solar energy systems
Solar system design and consulting
Battery energy storage systems
Energy storage consulting
EV charging solutions
Electrical services and electrical upgrades
Electrical panel upgrades
Solar inspections and diagnostics
Solar removal and reinstallation services
Solar installation and project management
Energy-efficiency consulting

Assistance with applicable rebates, incentives, financing, utility programs, and energy programs

The specific services provided to a customer will be determined by the applicable proposal, quotation, scope of work, agreement, purchase order, or other written project documentation.
2. Website Information Is General Information
The information provided on the Website is intended for general informational and educational purposes.
Although Sunvibe makes reasonable efforts to keep Website information accurate and current, we do not guarantee that all information is complete, accurate, current, or applicable to every property, project, utility territory, customer, or situation.
Solar production, energy savings, equipment performance, rebates, incentives, financing terms, utility requirements, installation requirements, and project costs can vary substantially based on individual circumstances.
You should not rely solely on information published on the Website when making financial, technical, construction, electrical, or energy-related decisions.
3. Quotes, Estimates and Proposals
Any prices, estimates, savings calculations, system sizes, production estimates, payback periods, incentives, rebates, financing examples, or other project information displayed on the Website or communicated before a formal project agreement are preliminary and may change.
Website content, preliminary estimates, online forms, emails, conversations, or verbal discussions do not automatically constitute a binding offer or contract to supply or install a solar, battery, EV charging, electrical, or other energy system.
A project becomes subject to the applicable contractual terms only when the parties enter into the appropriate written agreement, proposal, scope of work, purchase agreement, or other binding documentation.
4. Solar Production and Energy Savings
Solar production and energy savings are estimates and are not guaranteed unless expressly guaranteed in a written agreement.
Actual results may be affected by factors including:
Weather
Sunlight and shading
Roof orientation and pitch
System location
Equipment performance
Snow and environmental conditions
Utility rates
Electricity consumption
Changes in electricity usage
System downtime
Maintenance
Utility requirements
Government programs
Rebate or incentive availability
Changes to applicable regulations
Equipment availability
Other factors outside Sunvibe's reasonable control
Any projected savings, return on investment, payback period, or production figure should therefore be considered an estimate unless expressly stated otherwise in a binding written agreement.
5. Rebates, Incentives and Government Programs
Sunvibe may provide information or assistance relating to rebates, incentives, financing programs, tax programs, utility programs, net-metering programs, energy-efficiency programs, or other government or utility initiatives.
Program eligibility, funding, application requirements, approval, rebate amounts, deadlines, and availability are determined by the applicable program administrator or government/utility authority.
Sunvibe does not guarantee that a customer will qualify for, receive, or retain any rebate, incentive, grant, financing arrangement, or other program benefit unless expressly guaranteed in a written agreement.
Customers are responsible for providing accurate information and completing any required documentation.
6. Third-Party Equipment
Solar and energy projects may involve equipment manufactured or supplied by third parties.
Equipment may include, among other things:
Solar panels
Inverters
Microinverters
Battery storage systems
EV chargers
Electrical equipment
Monitoring equipment
Mounting equipment
Other related components
Equipment specifications, warranties, availability, compatibility, performance, and manufacturer requirements are subject to the applicable manufacturer's terms and may change without notice.
Manufacturer warranties are generally separate from Sunvibe's contractual obligations unless expressly incorporated into a written agreement.
7. Electrical and Property Conditions
Every property is different.
Installation, electrical work, solar design, battery installation, EV charging installation, panel upgrades, or other work may be affected by existing electrical systems, building conditions, roof conditions, structural conditions, utility requirements, code requirements, accessibility, property limitations, and other site-specific circumstances.
Sunvibe may require a site assessment, inspection, engineering review, electrical assessment, utility approval, or other evaluation before confirming the final scope, price, system design, or installation requirements.
Additional work or costs may be required where conditions are discovered that were not reasonably identifiable before the applicable assessment or installation.
8. Site Access
Where services require access to a customer's property, the customer is responsible for providing reasonable access to the property and relevant areas necessary to perform the agreed services.
Customers must disclose known conditions that could reasonably affect the work, including known structural, electrical, environmental, access, or property hazards.
9. Intellectual Property
Unless otherwise stated, all content appearing on the Website is owned by or licensed to Sunvibe and is protected by applicable intellectual property laws.
This includes, without limitation:
SUNVIBE trademarks and branding
Logos
Text
Graphics
Photographs
Videos
Illustrations
Website designs
Layouts
Documents
Marketing materials
Software and other digital content
You may access and use the Website for your personal or legitimate business purposes.
You may not reproduce, modify, distribute, sell, license, publish, republish, scrape, copy, or commercially exploit Website content without Sunvibe's prior written permission, except where permitted by applicable law.
10. Acceptable Use

To commit fraud or facilitate fraudulent activity

Sunvibe does not acquire ownership of your personal property or proprietary materials merely because you submit them to us.

This includes, without limitation, loss of profits, revenue, business opportunities, data, or anticipated savings.
Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
For clarity, these Website Terms do not replace or override any express warranties, obligations, limitations, or remedies contained in a separate written agreement between Sunvibe and a customer.
16. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Sunvibe Financial Inc., its directors, officers, employees, contractors, consultants, agents, suppliers, and service providers from claims, liabilities, losses, damages, costs, and reasonable expenses arising from:
Your violation of these Terms;
Your unlawful use of the Website;
Your misuse of Website content;
Your infringement of another person's rights; or
Your negligent or wrongful conduct in connection with the Website.
17. Privacy
Your use of the Website is also subject to Sunvibe's Privacy Policy.
The Privacy Policy explains how Sunvibe collects, uses, discloses, and protects personal information.
18. Changes to These Terms
Sunvibe may modify these Terms from time to time.
When changes are made, the updated version will be posted on the Website and the "Last Updated" date will be revised.
Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

These Website Terms do not replace or override a separate written contract, proposal, scope of work, purchase agreement, or other agreement signed between Sunvibe and a customer.
Where there is a conflict between these Website Terms and a separate written customer agreement, the applicable customer agreement will govern with respect to the services covered by that agreement.
21. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada.
Any dispute relating to these Terms or your use of the Website will be subject to the applicable courts located in Ontario, Canada, subject to any mandatory jurisdictional requirements or rights that cannot legally be waived.
